  • Other customized digital solutions as agreed with the client

The specific services, features, deliverables, timelines, and pricing for each project will be defined in the applicable proposal, quotation, Scope of Work (SOW), invoice, or written agreement.


2. Project Agreement and Scope

Each project undertaken by V4 CODE will be based on an agreed scope of work.

The agreed project scope may include:

  • Project requirements
  • Features and functionality
  • Design requirements
  • Development milestones
  • Estimated delivery timeline
  • Payment terms
  • Final deliverables

Any requirement, feature, modification, or service that is outside the agreed scope may be treated as additional work and may involve additional charges and delivery time.


3. Client Responsibilities

The client agrees to provide the information and materials reasonably required to complete the project.

This may include:

  • Business information
  • Text and website content
  • Logos and branding materials
  • Images and other media
  • Domain and hosting details
  • API credentials or third-party access
  • Required approvals and feedback

The client is responsible for ensuring that materials supplied to V4 CODE are accurate and that the client has the necessary rights or permissions to use them.

Delays in providing required information, access, approvals, or feedback may affect the project delivery timeline.


4. Project Timeline and Delivery

V4 CODE will make reasonable efforts to complete projects within the timeline agreed with the client.

Project timelines may change due to:

  • Changes in project requirements
  • Delayed client feedback or approvals
  • Delayed delivery of required content or information
  • Third-party service issues
  • Technical dependencies
  • Unforeseen circumstances

Where applicable, revised timelines will be communicated to the client.


5. Payment Terms

Payment terms will be specified in the project quotation, proposal, invoice, or agreement.

Depending on the project, payments may be divided into:

  • Initial advance payment
  • Design or development milestones
  • Testing or review milestones
  • Final payment

Unless otherwise agreed in writing, work may commence after receipt of the agreed initial payment.

Outstanding payments may result in a temporary suspension of development, support, deployment, or project handover.


6. Final Delivery and Handover

Final project deliverables, source code, administrative access, deployment, or other agreed handover materials may be provided after the applicable project payments have been fully settled.

The exact handover items will depend on the project scope and agreement between V4 CODE and the client.


7. Intellectual Property and Ownership

Upon full payment of the agreed project fees, ownership of custom deliverables specifically created for the client will be handled according to the applicable project agreement.

However, the following may remain subject to their original ownership or licensing terms:

  • Third-party software
  • Open-source libraries
  • Plugins
  • Themes
  • Frameworks
  • Fonts
  • Stock images
  • APIs
  • External tools and services
  • Pre-existing V4 CODE components and reusable development resources

Third-party resources remain subject to their respective licenses and terms.


8. Portfolio and Project Showcase

Unless otherwise agreed in writing or covered by a confidentiality or Non-Disclosure Agreement (NDA), V4 CODE may showcase completed projects, selected screenshots, project descriptions, or client testimonials as part of its portfolio, marketing materials, or case studies.

Clients who require confidentiality should communicate their requirements before project completion.


9. Third-Party Services

Projects may depend on third-party services such as:

  • Hosting providers
  • Domain registrars
  • Cloud platforms
  • Payment gateways
  • APIs
  • Plugins and themes
  • Email services
  • Analytics platforms
  • Other external software or technology providers

V4 CODE is not responsible for service interruptions, policy changes, price changes, downtime, security incidents, limitations, or failures caused by third-party providers.

Any applicable renewal, subscription, hosting, domain, license, or third-party service fees will be the responsibility of the client unless otherwise agreed.


10. Warranty and Bug-Fix Support

V4 CODE may provide a complimentary post-launch support period where specified in the applicable project agreement.

During the agreed support period, V4 CODE will generally address genuine bugs or defects related to the agreed project scope.

The support period does not normally include:

  • New features
  • Major design changes
  • New functionality
  • Third-party service issues
  • Changes made by other developers
  • Client-side configuration changes
  • Changes outside the original project scope

Post-launch maintenance and additional development may be provided separately based on applicable support or maintenance charges.


11. Cancellation

A client may request cancellation of a project by providing written notice to V4 CODE.

Where a project is cancelled after work has commenced:

  • Charges may apply for work completed up to the cancellation date.
  • Payments relating to completed work may not be refundable.
  • Non-refundable payments, third-party costs, or committed expenses may not be refundable.
  • Any final handover will be subject to settlement of applicable outstanding amounts.

Specific cancellation and refund terms may vary depending on the project agreement.


12. Refund Policy

Refund eligibility, where applicable, will depend on the individual project agreement, payment terms, work completed, and applicable third-party costs.

Any refund terms specifically agreed in writing between V4 CODE and the client will take precedence for that project.


13. Website Use

Users agree to use the V4 CODE website only for lawful purposes.

You must not:

  • Attempt to gain unauthorized access to the website or its systems
  • Introduce malicious software or harmful code
  • Misuse website content or services
  • Attempt to disrupt website operations
  • Use the website for fraudulent or unlawful activities

14. Limitation of Liability

Clients are responsible for maintaining appropriate backups of their own business data, credentials, files, and information unless backup services have been specifically included in the project agreement.

16. Changes to Services and Terms

V4 CODE reserves the right to modify, update, suspend, or discontinue portions of its website or services when reasonably necessary.

We may also update these Terms and Conditions from time to time.

17. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the applicable laws of India.

Any dispute arising between V4 CODE and a client will first be attempted to be resolved through good-faith communication and mutual discussion.

Where legal proceedings become necessary, the matter will be subject to the jurisdiction of the competent courts in Tirunelveli, Tamil Nadu, India, to the extent permitted by applicable law.
